Affiliate Program Agreement

1. Program Overview

This Partner Program Agreement ("Agreement") is between RedX Technology Inc ("Company," "we," "us," or "our") and the participating partner ("Partner," "you," or "your"). By applying to or participating in our Partner Program, you agree to these terms and conditions.

2. Partner Eligibility

2.1. We reserve the right to:

• Accept or reject any Partner application at our sole discretion
• Terminate any Partner's participation at any time, with or without cause
• Request additional information to verify Partner's identity or compliance
• Suspend or terminate accounts that violate these terms

2.2. Partners must:

• Be at least 18 years old
• Have a valid tax ID or business registration
• Maintain accurate contact and payment information
• Comply with all applicable laws and regulations

3. Commission Structure

3.1. Commission Rates:

• Standard commission rate is 40% of qualifying sales
• We reserve the right to modify commission rates with notice
• Special promotional rates may be offered at our discretion
• Different product categories may have different commission rates

3.2. Qualifying Sales:

• Must be validated and completed transactions
• Must not be refunded, charged back, or cancelled
• Must comply with all program policies
• Must be from legitimate customers with valid payment methods

4. Payment Terms

4.1. Payment Schedule:

• Payments are processed 30 days after the end of each calendar month
• Minimum payment threshold is 100 USD
• Balances below the threshold will roll over to the next payment period
• All payments are subject to review and approval

4.2. Payment Requirements:

• Partner must have valid payment information on file
• Partner must submit any required tax documentation
• No pending disputes or investigations
• Account must be in good standing

4.3. Payment Holds:

• We may withhold payments pending fraud investigation
• Suspicious activity may result in payment delays
• Violation of terms may result in forfeiture of unpaid commissions

5. Partner Obligations

5.1. Prohibited Activities:

• No false or misleading advertising
• No spam or unsolicited promotional messages
• No artificial inflation of traffic or sales
• No unauthorized use of our intellectual property
• No promotion through illegal or deceptive means

5.2. Marketing Requirements:

• All promotional materials must be accurate and compliant
• Partner must clearly disclose affiliate relationship
• No misrepresentation of product features or benefits
• No price manipulation or false discounts

6. Term and Termination

6.1. Term:

• This Agreement continues until terminated
• Either party may terminate at any time
• No minimum commitment period required

6.2. Termination Effects:

• Immediate cessation of promotional activities
• Removal of all Company materials and links
• Final payment of valid earned commissions
• Forfeiture of future commissions

7. Modifications and Changes

7.1. We reserve the right to:

• Modify these terms at any time
• Change commission rates or payment terms
• Adjust program requirements or benefits
• Update marketing guidelines or restrictions

7.2. Notice of Changes:

• Material changes will be communicated with 30 days notice
• Continued participation constitutes acceptance
• Partners may terminate if they do not accept changes

8. Liability and Indemnification

8.1. Partner agrees to:

• Indemnify Company against all claims and damages
• Be solely responsible for their promotional activities
• Maintain appropriate insurance coverage
• Comply with all applicable laws

8.2. Limitation of Liability:

• Company not liable for indirect or consequential damages
• Maximum liability limited to earned unpaid commissions
• No warranty or guarantee of Partner success
• No guarantee of minimum earnings

9. Confidentiality

9.1. Partners must:

• Maintain confidentiality of program information
• Protect customer data and privacy
• Not disclose commission rates or earnings
• Secure access to Partner portal and materials

10. Dispute Resolution

10.1. Resolution Process:

• All disputes subject to binding arbitration
• Venue and jurisdiction in [Location]
• 60-day good faith resolution period required
• Each party bears own legal costs

11. Additional Terms

11.1. Assignment:

• Partner may not assign rights without written consent
• Company may assign rights at its discretion
• No third-party beneficiaries to this Agreement

11.2. Survival:

• Relevant terms survive termination
• Payment obligations for valid sales continue
• Confidentiality obligations remain in effect
• Indemnification provisions continue
